End User License Agreement

Licensor: Saltshore Systems (“Licensor”)
1. Acceptance
By installing, activating, or using the Software, you agree to be bound by this End User License Agreement (“Agreement”). If you do not agree to the terms of this Agreement, do not install or use the Software.
2. Definitions
- “Software” means the CalGen software program and any accompanying documentation.
- “Licensee” means the individual who installs or uses the Software.
- “Personal Multi-Device License” (PMD License) means a license granted to a single natural person for use on a reasonable number of personal devices owned or controlled by that person.
- “Enterprise Use” means use by or for an organization, business, institution, or by multiple individuals.
3. License Grant
Subject to the terms of this Agreement, Licensor grants you a non-exclusive, non-transferable, perpetual Personal Multi-Device license to use the Software for personal use only; commercial, organizational, or enterprise use requires a separate license.
The Software may be installed and used on a reasonable number of personal devices owned or controlled by you, provided that the Software is not used concurrently by more than one individual.
4. Restrictions
You may not:
- Sell, rent, lease, sublicense, or otherwise transfer the Software to any third party
- Permit any other individual to use the Software under your license
- Use the Software for Enterprise Use without a separate agreement
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law
- Remove or obscure proprietary notices
5. Ownership
The Software is licensed, not sold.
Licensor retains all right, title, and interest in and to the Software, including all
intellectual property rights.
6. Updates and Upgrades
Licensor may, at its discretion, provide updates or upgrades to the Software, but is not obligated to do so.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
8. Limitation of Liability
IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE SOFTWARE.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Termination
This Agreement shall terminate automatically if you materially breach its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Maine, United States, without regard to conflict-of-law principles.
